01Agreement to these terms
These Terms & Conditions ("Terms") are a legal agreement between you and GATP Solutions ("GATP", "we", "us" or "our").
By using our website, submitting a form or engaging our services, you agree to these Terms and to our Privacy Policy. If you accept on behalf of a company, you confirm that you have authority to bind it. If you do not agree, please do not use our website or services.
02Using our website
You may use our website only for lawful purposes. You agree not to:
- Copy, scrape, reproduce or resell content from the site without our written permission.
- Submit false information or someone else's details through our forms.
- Attempt to gain unauthorized access to the site, interfere with its operation or introduce malicious code.
- Use the site to send spam or unlawful material.
Website content is for general information only and is not legal, tax or financial advice. Examples and figures on the site, including those marked "illustrative", explain our approach and do not describe the results of any specific client. We may change or remove any part of the site at any time.
03Our services
We provide performance marketing, lead generation, outsourced sales (SDR and closer) teams, CRM and sales automation, SEO and websites, and social media and content services.
The scope, deliverables, timelines and fees of each engagement are set out in a written proposal, statement of work, order form or service agreement (an "Agreement"). If an Agreement conflicts with these Terms, the Agreement controls for that engagement. Work outside the agreed scope is quoted separately and starts only after you approve it.
04Fees, ad spend and payment
- Service fees are as stated in your Agreement and are invoiced in advance unless agreed otherwise. Invoices are due within 7 days of the invoice date.
- Advertising spend is separate from our fees and, unless agreed otherwise, is paid by you directly to the ad platforms using your own payment method.
- Third-party tools such as CRM, calling, SMS or software subscriptions are your cost unless your Agreement says they are included.
- Late payment: we may pause work and campaigns while an invoice is overdue.
- Refunds: fees for work already started or completed, and for the current billing period, are non-refundable unless your Agreement says otherwise.
- Taxes: fees do not include sales or other taxes, which will be added where required.
05No guaranteed results
Marketing and sales results depend on many factors outside our control, including your offer, pricing, market, competition, budget, ad platform algorithms and how quickly leads are handled. Unless your Agreement expressly says so, we do not guarantee any specific number of leads, meetings, clients, rankings, cost per lead or return on ad spend. Forecasts we share are good-faith estimates, not promises.
06Your responsibilities
- Provide accurate information, timely approvals, feedback and access to the accounts and tools we need.
- Own or have permission to use any logos, images, content, data and contact lists you give us.
- Make sure your services, offers and claims are lawful and accurate, and that you hold any licenses or professional registrations your firm requires.
- Review and approve ads, scripts, landing pages and messages before they go live. You are responsible for content you approve.
- Keep ownership of and control over your ad accounts, CRM, domains and other business accounts.
07Calls, SMS and outreach compliance
Where we call, text or email leads on your behalf, you confirm that those leads were obtained lawfully and gave any consent required by law, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing and "mini-TCPA" laws, carrier rules for business texting (such as A2P 10DLC registration) and the National Do Not Call Registry.
We honor opt-out requests (such as "STOP" replies and unsubscribes) and may refuse to contact any list or person where we believe consent is missing or the outreach would be unlawful.
08Intellectual property
- Our website: all content on this website, including text, design, graphics, and our name and logo, belongs to GATP or its licensors and is protected by intellectual property laws.
- Your materials: you keep ownership of everything you provide. You grant us a limited license to use it only to deliver the services.
- Deliverables: once paid in full, you own the final deliverables we create specifically for you, such as ad creatives, copy, landing pages and websites, unless your Agreement says otherwise.
- Our know-how: we keep ownership of our pre-existing tools, templates, processes, playbooks and general know-how, even if used in your project.
- Portfolio: unless you tell us in writing not to, we may list your company name and logo as a client and show non-confidential work in our portfolio.
09Third-party platforms
Our services rely on third-party platforms such as Google, Meta, LinkedIn, CRMs and telephony providers, and their own terms and policies apply. We are not responsible for their outages, policy changes, ad rejections, account restrictions or suspensions, though we will help you resolve them where we can. Our website may link to third-party websites we do not control.
10Confidentiality and data
Each party will keep the other's confidential business information private and use it only for the engagement, except where disclosure is required by law. This obligation continues after the engagement ends.
We handle personal information as described in our Privacy Policy. Where we process your leads' or customers' data for you, we do so only on your instructions.
11Term and termination
We do not use long lock-in contracts. Unless your Agreement sets a different minimum term or notice period, either party may end the services with 30 days' written notice.
Either party may end the services immediately if the other materially breaches these Terms or the Agreement and does not cure the breach within 7 days of written notice. On termination, you will pay for all work performed and fees due through the end date, and we will hand over completed deliverables and return access to your accounts.
12Disclaimers
OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN YOUR AGREEMENT.
13Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA OR GOODWILL.
- OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE WEBSITE OR SERVICES IS LIMITED TO THE FEES YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some states do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
14Indemnification
You agree to defend, indemnify and hold us harmless from claims, losses and costs (including reasonable attorneys' fees) arising from materials you provide, content you approve, your breach of these Terms, or outreach to leads who did not give required consent.
15Governing law and disputes
These Terms are governed by the laws of the United States and of the state in which GATP Solutions is organized, without regard to conflict-of-law rules, unless your Agreement provides otherwise. We will first try to resolve any dispute informally and in good faith. If it is not resolved within 30 days, either party may bring the dispute before the state or federal courts located in that state, and both parties consent to their jurisdiction.
16General
- Changes: we may update these Terms from time to time. The "Last updated" date shows the latest version. Changes do not affect a signed Agreement unless both parties agree.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
- Independent contractors: we act as an independent contractor, not as your employee, partner or agent.
- Severability: if any part of these Terms is found unenforceable, the rest remains in effect.
- Entire agreement: these Terms, your Agreement and our Privacy Policy are the entire agreement between us about their subject matter.
